Job Purpose: The incumbent will be responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented
Key Responsibilities:
Assist in convening of general meetings of the Company, Postal Ballot and drafting minutes of meeting
Assist in ensuring compliance relating to Companies Act 2013, Secretarial Standards and amendment thereof.
Maintaining of Statutory Registers prescribed under Companies Act, 2013.
Filing of various statutory forms prescribed under Companies Act with Corporate Affairs Ministry (MCA)
Assist in ensuring compliances relating to Securities and Exchange Board of India (SEBI) listing regulations, stock exchanges quarterly compliances and the regulatory filings to SEBI.
Preparation of Directors report, Corporate governance report and Annual report of the Company.
Ensuring compliance under Insider Trading, Substantial Acquisition of Shares and Takeovers regulations (SAST), Foreign Exchange Management Act (FEMA), Reserve Bank of India (RBI) and others.
Knowledge of handling Stock options, consulting with employees and compliances thereunder.
Assisting Auditors in Secretarial Audit, Internal Audit, Employee Stock Ownership Plan (ESOP) and CG Audit.
Assist in handling investor's grievance matters like issue of duplicate share certificates, transmission of shares, dividend payment and revalidation of dividend warrants
Follow environment, health, and safety (EHS) requirements at all times in the workplace ensuring individual and lab/plant safety
Ensure environment, health, and safety (EHS) measures are imparted via training and adhered within the team
Educational Qualification:
Bachelors Degree (or equivalent) with demonstrated academic achievement
Qualified Company Secretary
Technical/functional Skills:
To be well-versed with Companies Act and Securities and Exchange Board of India (SEBI) Regulations
Good drafting skills and interpretation skills.
Possess the knowledge and exposure to environment, health, and safety (EHS) practices
Experience:
Excellent performance record with 2 to 5years of experience in Company Secretarial role
Behavioral Skills:
Outstanding communication and interpersonal abilities.
An analytical mindset with excellent organizational skills
