Job Summary About the Role: To hire a seasoned Company Secretary with extensive experience in IPO preparedness and compliance for a company poised to undergo an Initial Public Offering. The candidate will be instrumental in navigating the complex regulatory requirements and ensuring the company compliance with corporate statutory and regulatory obligations. Key Responsibilities: General Corporate Secretary Responsibilities: Organize, schedule, and manage board meetings and shareholder meetings, ensuring compliance with legal and statutory requirements. Maintain company records, including minutes of board meetings and resolutions, and ensure timely filings with regulatory authorities. Handle corporate actions such as share transfers, issuances, dividend payments, and other shareholder-related matters. Respond to investor queries and manage communications with shareholders regarding corporate events, dividends, and other matters of shareholder interest. Ensure compliance with corporate governance standards and practices beyond the IPO,continuing to uphold the integrity and compliance of the company s operations. IPO Preparation and Management: Coordinate with external advisors (investment bankers, legal firms, auditors) and internal departments to ensure a successful IPO. Assist in the preparation of the company s prospectus, ensuring it meets the requirements set by securities and exchange boards and other regulatory bodies. Oversee all regulatory aspects of the IPO process, including filing necessary forms, adhering to reporting standards, and ensuring compliance with pre and post-listing requirements. Develop and implement comprehensive checklists and timelines for the IPO process, including due diligence, drafting sessions, and review processes. Conduct regular training sessions for the board of directors and other key stakeholders on corporate governance practices and regulatory compliance related to listed companies. Act as the primary point of contact for regulatory bodies and maintain ongoing communications with the SEBI, stock exchanges, and other regulatory authorities. Prepare and present detailed reports on IPO progress, risk management, and compliance to the board of directors and senior management. Job requirements Qualified Company Secretary certified by the Institute of Company Secretaries of India (ICSI). At least 10 years of relevant experience, with a proven track record of managing a company s IPO process or significant experience in handling compliances for a listed company. Thorough understanding of the Companies Act, SEBI regulations, and other statutory legislation relevant to public offerings and corporate governance. Experience in liaising with regulatory authorities and external advisors. Exceptional communication and interpersonal skills, with the ability to engage effectively with senior executives, board members, external stakeholders, and regulatory bodies. Strong analytical and strategic thinking abilities, with meticulous attention to detail. Proven leadership skills and the ability to manage cross-functional teams during high-pressure periods. High level of integrity and professionalism with a commitment to ethical practices.
